Whitelabel Licensing & Relationship
(i) Nature of Service: This mobile application (the "App") is a whitelabelled instance of the School Chimes platform. While the App carries the branding, logo, and name of the Institution "App", the underlying technology, source code, and infrastructure remain the exclusive property of Savyasasy Software Solutions Pvt Ltd.
(ii) Data Controller vs Processor: App is the Data Controller and is responsible for the collection, accuracy, and legal basis of all student and staff data. Savyasasy acts as the Data Processor, providing the technical environment to store and manage said data.
(iii) Support: First-level support regarding data (marks, attendance, fees) is handled by App. Technical bugs or system downtime are managed by Savyasasy.
General Terms
(i) This App is a custom-branded interface of School Chimes, an ERP solution developed and owned by the provider.
(ii) Savyasasy provides the technical infrastructure and message transmission platform. The Institution remains the "Data Controller," while Savyasasy acts as the "Data Processor."
(iii) The application is a Communication and ERP solution that has been developed by Savyasasy Software Solutions Pvt Ltd. The format, design and all aspects of this solution is the sole intellectual property of Savyasasy Software Solutions Pvt Ltd
(iv) The application Provides only a platform for Users to transmit messages to the target audience. Savyasasy will not be responsible in any way for the content transmitted through this platform.
(v) The Users of the provider by using the application indemnify the provider from liability or cause of action arising from any content transmitted through this platform.
(vi) The use of the application by Users/Subscribers is subject to the appropriate laws as applicable and as determined by the laws of the land. The service is offered subject to the operating conditions prescribed by the laws of the land. Hence the service is subject to change, and within the overall compliance of policies and conditions prescribed by them.
(vii) The calling functionality is entirely dependent on the Telecom Networks and Telecom Service Providers from whom the telephone lines have been procured. Hence the provider shall not be held responsible for the non-performance/partial/faulty performance of the functionalities or all functionalities of the product, at times.
(viii) User shall not use the application in any manner that is in contravention with the Laws of the Land
Pricing Structure and Payment Terms
(i) Our pricing for educational modules and services will be based on the below subscription plans, which are offered on an annual basis. Each plan includes a bundle of modules and features tailored to different school needs and sizes.
(ii) All pricing are quoted in Indian Rupees (₹) and are due as per the payment schedule outlined during the onboarding process.
(iii) Payment can be made via bank transfer, UPI, credit/debit card via our payment gateway
(iv) Unless otherwise specified, pricing are payable annually in advance. Alternative payment schedules, such as installment plans, may be offered for certain institutions at our sole discretion. Any such alternative payment plan will be detailed in a separate agreement during the onboarding process, clearly outlining the installment amounts, due dates, and any associated terms.
(v) Invoices will be issued [e.g., annually at the start of the academic year / upon enrollment / at the beginning of each installment period] and sent to your registered email address.
(vi) If a payment is not received by its due date, your subscription will be considered overdue.
(vi) If payment for an overdue amount is not received within thirty (30) calendar days from the original due date, your subscription and access to all related modules and services for the concerned institution will be immediately suspended or terminated without further notice. Access will only be reinstated once all outstanding amounts, including any pro-rated charges for the period of service, are paid in full.
(vi) We reserve the right to pursue collection of all outstanding amounts through legal means in the event of non-payment.

Delivery Policy
(i) As a SaaS (Software as a Service) product, there may not be a traditional "shipping" or "delivery" policy in the same sense as physical goods.
(ii) At Savyasasy, we deliver our SaaS product through our website,
(iii) Once you have completed the sign-up process and made your first payment, you will receive instant access to our software. This includes login credentials and any necessary instructions on how to access our services.
(iii) Our software is available 24/7 through our website. We make every effort to ensure that our services are available at all times, but we cannot guarantee uninterrupted access due to factors outside of our control, such as internet connectivity and system failures. We will make every effort to restore service as soon as possible in the event of any downtime.
(iii) We offer customer support to assist with any technical issues or questions you may have. Our support team is available via phone or mail during our business hours 09.30 am to 06.30 pm IST.
Refunds and Cancellations
(i) The provider reserves the right, at its sole discretion, to accept or reject Users/Subscribers at any point in time. It is not liable to provide any explanation or reason to any User/Subscriber in the event of terminating any User/Subscriber account. The provider will refund any money deposited after deducting for any usage or other.
(ii) The provider will not be liable for any third-party transactions made using the application platform or services.
(iii) Transaction fee charges would not be refunded/ reversed under any circumstances for any refund/ reversal /chargeback and any other reasons.
(iv) Transaction fees charged would be borne by cardholder for any payment.
Data and Security
(i) The provider is not aware of the nature and content of the message transmitted to the User and such contents are not monitored by the provider. Any illegal use of the facility, when brought to the notice of the provider shall entail immediate disconnection of the service. (i) The provider is not aware of the nature and content of the conversations held between the User/Subscriber and other third parties such conversations are not monitored by the provider. (ii) The provider will not disclose the personal data of Userto any third party for any other commercial activity or marketing activity without the prior consent of the User
(iii) User agrees that the provider can send messages regarding new product features, special offers and other promotional information/material to them.
(iv) User can at any time, opt out from receiving such promotional messages from the provider. However this shall not include technical messages related to usage, payment balance, upgrade and bug fix related messages.
(v) The provider operates and offers the application under the relevant laws of the land. If Competent Authorities, duly authorized by law, seek information on usage of the system, the same shall be provided by the provider with or without informing the User
(vi) All contents of the communication will be kept on the provider servers for a period of 15 days. After this period, the files will be deleted from the provider servers. During this period, User can download the files for their reference.
(vii) The above time period is subject to change at the sole discretion of Savyasasy without any notice to the User
(viii) The facility to record the messages, send text messages, and media are provided based on the current rules and regulations that govern telecom providers and service providers. In the event, there is a regulatory restriction or orders to stop such facility, the same shall be withdrawn by the provider with/without prior notice.
(ix) Not withstanding the above, the provider reserves the right to withdraw this facility with/without any reason or notice
(x) Userwill not hold the provider liable for any partial or full failure of the recording feature.
(xi) Data entered into the App is stored on secure servers managed by the provider. By using this App, you consent to the processing of your data by the provider as the technical service provider.
Technical and Information Access to the User/Subscriber’s Phone features
(i) The application will access information/data of individual User that relate to the provision of service of the application services and proper functioning of the App. By using the application, the User by default agrees that such information/data can be accessed and used by the application for the smooth functioning of the application.
(ii) The application will access certain phone features of the User such as Internet and Network Access, Identity and Status and dialer settings for the functioning of this App. The application will also access and modify data in the User’s device. User agrees to allow the application to do the same.
Indemnification
(i) The User indemnifies the provider from any potential losses or damages as a consequence of partial or total non-performance of the application solution
(ii) The User indemnifies the povider from any potential loss caused to User by leakage of their data that is a result of hacking or cyber crime on the provider infrastructure
(iii) The User indemnifies Savyasasy against any unlawful use by them of the application Services
(iv) The User indemnifies the provider for any discrepancy, fault, or non-fulfillment of any transaction with Payment Gateway Provider systems that is routed through the application
(v) The User indemnifies the provider for any leakage or abuse of their data by the Payment Gateway Provider and any or all such claim for damages with regard to the same will be exclusively with the Payment Gateway Service Provider
(vi) The User accepts and agrees to all terms and conditions imposed by the Payment Gateway Service Provider for creating and operating a Payment Gateway Account. No claim with regard to this shall be entertained by the provider.
(vii) For the purpose of creating a Payment Gateway for User, the following information has to be
provided to the Payment Gateway Service Provider for creating a limited KYC .

(i) The User indemnifies the provider from any potential losses or damages as a consequence of partial or total non-performance of the application solution .The provider reserves the right to terminate the provision of the application services without notice to any User
(ii) On termination, the provider will not have any other liability
(iii) The User can opt to terminate their Account at any time. On termination, te provider will process the request and stop sending messages
Intellectual Property
(i) All Intellectual Property and Copyright related to the application are the exclusive property of Savyasasy.
(ii) User shall not in any manner, copy the format, design, and technical aspects of the application or provide any support to any third party to do the above.
(iii) The logo and design of the provider are the exclusive trademarks of Savyasasy and the same shall not be used or copied by any User/Subscriber
(iv) Savyasasy Software Solutions Pvt Ltd is a third-party beneficiary of these Terms. This means the provider has the right to enforce IP protections and usage restrictions directly against any User who violates these terms.
Jurisdiction
The User by usage of the application confirms that the usage of the above terms and conditions shal be subject to the exclusive jurisdiction of the courts of Chennai only.
